The company has informed that the Board of Directors of the Company, in its meeting held on October 04, 2026, at 05:00 PM, has noted and recorded the successful completion of the off-market transfer of 30,780,000 ordinary shares held by the outgoing Sponsor/Directors in favor of Akij Resources Limited, Sheikh Jasim Uddin, and Faria Hossain as a "Matched Transaction" under Bye-Law 11.6 of the CDBL Bye-Laws, (cont.1) following formal approvals received from the BSEC on August 27, 2026, and DSE on October 01, 2026. Consequent upon the completion of the share transfer, the Board accepted the resignations and retirements of outgoing directors Engr. Muhammad Shamsul Islam, Engr. Mohammad Rafiqul Islam, Sujit Saha, Abul Kalam Bhuyan, and Rakibul Islam effective from the close of business on October 04, 2026, and (cont.2) approved the immediate appointment and reconstitution of the new Board of Directors comprising Sheikh Jasim Uddin as Chairman, Faria Hossain as Managing Director, and Md. Masum Billah, Md. Sheikh Sadi, and Shobrata Kumar Roy as Nominee Directors representing Akij Resources Limited.

DSE has granted permission for execution of the following proposed transfer of securities of Dominage Steel Building Systems Limited outside the trading system of the Exchange at the closing price of September 30, 2026 as "Matched Transaction" in accordance with Bangladesh Securities and Exchange Commission (BSEC) approval letter No. BSEC/ICAD/SRIC/2024/327/Part-2/164 dated August 27, 2026 subject to compliance of the relevant provisions of (cont.1) Depository (Beboharik) Probidhanmala, 2003, CDBL Bye Laws, Dhaka/Chittagong Stock Exchange (Listing) Regulations, 2015, the Income Tax Act, 2023 as well as some other conditions. The names of the transferors, along with the quantity and percentage of securities to be transferred, and the names of the respective transferees are as follows: 1. Muhammad Shamsul Islam (Sponsor-Director & Chairman)- 12,041,988 shares (11.74%) to Akij Resources Ltd. (cont.2) 2. Mohammad Rafiqul Islam (Sponsor-Director & Managing Director)- 12,041,988 shares (11.74%) to Akij Resources Ltd. 3. Sujit Saha (Director)- 2,431,914 shares (2.37%) to Akij Resources Ltd. 4. Abul Kalam Bhuyan (Director)- 80,055 shares (0.08%) to Akij Resources Ltd. and 2,052,000 shares (2.00%) to Sheikh Jashim Uddin and (cont.3) 5. Rakibul Islam (Director)- 80,055 shares (0.08%) to Akij Resources Ltd. and 2,052,000 shares (2.00%) to Faria Hossain. Total: 30,780,000 shares (30.01%). The proposed transfer shall be executed within October 4, 2026 in demat form.

The company has informed that Bangladesh Securities and Exchange Commission, vide its letter dated August 27, 2026, has granted approval for the transfer of 30,780,000 ordinary shares of Dominage Steel Building Systems Limited, currently held by the Sponsors/Directors of the Company, to Akij Resources Limited, Sheikh Jasim Uddin, and Faria Hossain. The transfer will be executed outside the trading system as a Matched Transaction pursuant to Bye Law No. 11.6 of CDBL Bye Laws, and once the transaction is completed, the company will notify the completion of the transfer.
