As per Regulation 16(1) of the Dhaka Stock Exchange (Listing) Regulations, 2015, the Company has informed that a meeting of the Board of Directors will be held on October 27, 2026 at 4:00 PM to consider, among others, Un-Audited Financial Statements for the Third Quarter (Q3) period ended September 30, 2026.

Mr. Md. Nasiruddin Choudhury, a Sponsor of the Company, has completed his transfer of 19,500,000 shares of the Company to his son and daughters: (i) Mr. Faris Nasir Choudhury (son), a General Shareholder of the Company - 6,500,000 shares; (ii) Ms. Orthee Fariah Choudhury (daughter), a General Shareholder of the Company - 6,500,000 shares; and (iii) Ms. Ovee Farah Choudhury (daughter), also a General Shareholder of the Company - 6,500,000 shares, by way of gift outside the trading system of the Exchange as per declaration disseminated by DSE on 31.08.2026.

Mr. Md. Nasiruddin Choudhury, a Sponsor of the Company, has expressed his intention to transfer 19,500,000 shares of the Company to his son and daughters: (i) Mr. Faris Nasir Choudhury (son), a General Shareholder of the Company - 6,500,000 shares; (ii) Ms. Orthee Fariah Choudhury (daughter), a General Shareholder of the Company - 6,500,000 shares; and (iii) Ms. Ovee Farah Choudhury (daughter), also a General Shareholder of the Company - 6,500,000 shares, by way of gift outside the trading system of the Exchange within the next thirty working days with effect from August 25, 2026.

(Q2 Un-audited): Consolidated EPS was Tk. (0.07) for April-June 2026 as against Tk. 0.98 for April-June 2025; Consolidated EPS was Tk. 0.22 for January-June 2026 as against Tk. 1.82 for January-June 2025. Consolidated NOCFPS was Tk. 0.74 for January-June 2026 as against Tk. 3.60 for January-June 2025. Consolidated NAV per share was Tk. 24.30 as on June 30, 2026 and Tk. 24.35 as on December 31, 2025. Reasons for deviation: Net Asset Value per share (NAVPS) reduced compared to previous period due to the decrease of total shareholders' Equity. Earnings Per Share (EPS) reduced compared to previous period due to the decrease of Profit before provision. Net Operating Cash Flow Per Share (NOCFPS) has decreased compared to the previous period due to a decrease in Net Cash flows from Operating activities.

Credit Rating Information and Services PLC (CRISL) has assigned the rating of the Company as "A+" in the long term and "ST-2" in the short term along with Stable outlook in consideration of its audited financials up to December 31, 2025 also unaudited financials up to March 31, 2026 and other relevant quantitative as well as qualitative information up to the date of rating declaration.
